By using our SEO services, website, audits, consultations, or any related offerings, you ("Client," "you," or "your") agree to comply with and be bound by these Terms. If you do not agree with these Terms, you must discontinue use of our website and services immediately.

1. Introduction

These Terms establish the legal framework for the relationship between Pixxel and its Clients. Any additional agreements — such as Proposals, Statements, Service Packages, or Retainers — form part of these Terms and must be read together for a full understanding of obligations and expectations.

2. Services Provided

Pixxel offers a range of digital marketing and SEO-related services, including but not limited to:

• On-page and off-page optimization
• Google Business Profile management
• Google Business Profile management
• SEO audits and website evaluations
• Link building support
• Analytics and reporting
• Niche-specific SEO solutions

The exact scope of work for each Client is outlined in writing before the start of any project. Requests or tasks that fall outside the agreed scope may be subject to additional fees, which will be communicated in advance.

3. Independent Contractor Relationship

Pixxel operates strictly as an independent contractor. Nothing in these Terms establishes an employer – employee relationship, partnership, or agency arrangement. Clients are not responsible for providing employment benefits, tax contributions, insurance, or equipment to Pixxel or its team members.

We retain the right to determine our own methods, workflows, and internal processes needed to deliver services effectively, unless otherwise agreed in writing.

4. Payment Terms

Fees for services are outlined in the relevant proposal or service agreement. Unless otherwise stated:

Invoices

Invoices are due within 7 days of issuance.

Delayed or missed payments may result in temporary suspension of services.

Any service requiring upfront investment, including audit fees or retainers, must be paid before work commences.

We can provide or manage cookies through your browser settings; however, doing so may affect certain site features.

Additional Expenses

If third-party tools, paid software, ads, or subscriptions are required for your project, we will notify you and obtain approval before incurring costs. These expenses will be billed separately.

5. Retainers and Unused Hours

If you engage Pixxel on a retainer basis, you agree to the following:

• Retainer hours must be prepaid.
• Hours are valid only within the specific billing cycle and do not roll over unless explicitly agreed in writing.
• Work exceeding retainer hours will be billed at our standard hourly rate or at a rate agreed in your service plan.
• Unused hours are non-refundable unless a written exception has been approved.

6. Client Responsibilities

To perform SEO services effectively, the Client agrees to:

• Provide timely access to necessary accounts, platforms, and systems
• Supply accurate business information, brand assets, copy, and login credentials
• Clearly communicate goals, expectations, and instructions
• Respond promptly to questions or approval requests
• Ensure their website complies with all legal and regulatory requirements applicable to their industry

You remain responsible for decisions made using our recommendations, and for maintaining compliance with legal obligations in your jurisdiction.

Pixxel cannot be held responsible for delays caused by lack of access, missing information, or unresponsive communication.

7. Communication and Availability

Pixxel communicates with clients via email, project management tools, or messaging platforms as agreed. While we aim to respond promptly, we do not guarantee 24/7 availability unless explicitly included in your service agreement.

Meetings, strategy calls, or consultations outside your plan may incur additional fees and must be scheduled in advance.

8. Deadlines and Project Changes

Pixxel dedicates reasonable efforts to meet agreed delivery timelines. However:

• All deadlines are estimates, unless guaranteed in writing.
• Changes to the project scope, strategy, or requirements may impact timelines and fees.
• Unforeseen technical issues, third-party platform outages, or algorithm changes may affect delivery.

We will communicate adjustments transparently wherever such situations arise.

9. Confidentiality and Data Protection

Both parties agree to maintain strict confidentiality regarding sensitive information, including:

• Business data
• Login credentials
• Marketing strategies
• Campaign insights
• Proprietary assets

We will not disclose Client information to third parties unless necessary to deliver services, required by law, or with your explicit consent.

Pixxel complies with relevant data protection laws. Clients must ensure that any data or system access they provide is lawful and authorized.

10. Intellectual Property

Client Ownership

Upon full payment, you gain ownership of:

• Content created specifically for your campaign
• Reports, audits, or deliverables
• SEO strategies developed uniquely for your business

Pixxel Ownership

We retain ownership of:

• Pre-existing methodologies, templates, tools, processes
• Proprietary SEO frameworks
• Internal workflows

Unless otherwise agreed, we may showcase anonymized examples of completed work for marketing, portfolio, or case study purposes.

11. Confidentiality and Data Protection

Both parties agree to maintain strict confidentiality regarding sensitive information, including:

• Business data
• Login credentials
• Marketing strategies
• Campaign insights
• Proprietary assets

We will not disclose Client information to third parties unless necessary to deliver services, required by law, or with your explicit consent.

Pixxel complies with relevant data protection laws. Clients must ensure that any data or system access they provide is lawful and authorized.

12. Termination

Either party may terminate the agreement by providing 7 days' written notice. Pixxel reserves the right to terminate immediately if:

• You fail to pay invoices
• You breach these Terms
• You engage in abusive, fraudulent, or unlawful behavior

Upon termination:

• All outstanding fees become immediately due
• We will deliver completed work up to the termination date, provided payments are settled

13. Refunds and Cancellations

Payments made to Pixxel are non-refundable, unless stated otherwise in a written agreement. If the Client cancels services before completion:

• You remain responsible for all charges incurred up to the cancellation date
• Prepaid fees may be retained to cover the time and resources already invested
• Pixxel does not guarantee SEO outcomes, rankings, or traffic improvements within specific timeframes

14. Limitation of Liability

Our services are provided "as is" without any guarantee of specific results. SEO involves variables outside our control, including:

• Market competition
• Search engine algorithm updates
• External content or hosting issues
• Third-party platform changes
• To the fullest extent permitted by law
• Our total liability is capped at the amount you paid for services in the three (3) months preceding the claim
• We are not liable for indirect, incidental, consequential, or financial losses resulting from service use

15. Dispute Resolution

Both parties commit to attempting good-faith resolution through direct communication.

If a resolution cannot be reached, disputes may be submitted to mediation or arbitration before any court proceedings.

16. Changes to Terms

Pixxel may update these Terms periodically. When changes are significant, we will notify active Clients through email or a website notification. Continued use of our services constitutes acceptance of updated Terms.

17. Governing Law

These Terms are governed by the laws of the jurisdiction in which Pixxel operates. Legal proceedings related to these Terms may be brought only in the courts of those jurisdictions.

18. Entire Agreement

These Terms, together with any applicable Proposals or Service Agreements, represent the entire agreement between you and Pixxel. They supersede all prior discussions, messages, or understandings.
